The role of the administrative, management and supervisory bodies
Sustainability has always been an integral part of Heinzel Group’s strategy. Company founder and Supervisory Board Chairman Alfred Heinzel was an early proponent of environmentally conscious paper production, job creation in the region, and close cooperation with the local community. Today, Heinzel Group continues to consistently pursue this approach.The CEO, along with the Supervisory Board, the local Management Team and the Global Sustainability Team, is responsible for the strategic direction and development of the integrated sustainability and business strategy. As of December 31, 2025, Heinzel Holding GmbH has three members on its Management Team, and seven on its Supervisory Board.

In 2025, women accounted for 20% of these bodies. Of the ten members of the administrative, management, and supervisory bodies, three were executives responsible for strategy and day-to-day business, while seven were non-executives with advisory and controlling functions. In accordance with the guidelines on independence set out in the Austrian Code of Corporate Governance, three members of the Supervisory Board are considered independent, thus ensuring objective and impartial decision-making. The Supervisory Board seats are held for tenures of between three and five years, depending on the Supervisory Board member in question. In addition to the Supervisory Board of the holding company, all Heinzel Group subsidiaries have their own Supervisory Board members. ##### Structure and responsibilities in sustainability management
During this reporting period, there were only a few personnel changes, and no changes were made to the organizational structure or to the allocation of responsibilities within the governance related to sustainability management.
The Management Board regularly informs the Supervisory Board of Heinzel Holding GmbH about current developments in environmental, social and governance related developments. This allows the Supervisory Board to monitor and support progress in these areas. Heinzel Group's Supervisory Board governance structure provides for at least one regular meeting per quarter and ad hoc meetings as required. Attendance lists and minutes are kept to enure that decisions are documented transparently and comprehensively.
The Sustainability Steering Committee, headed by the CEO, consists of the holding company’s Management Team and is responsible for all sustainability matters within the group. These matters include identifying and assessing possible sustainability-related impacts, risks and opportunities, as well as developing policies, targets, and associated measures. The committee regularly meets with the Global Sustainability Team – comprising the Unit Sustainability Managers and the Group Sustainability Team – to ensure the effective implementation of the sustainability strategy and the incorporation of identified impacts, risks and opportunities into the integrated corporate strategy. At the group company level, one of the two general managers is responsible for defining and monitoring the sustainability strategy and risk management at the site.
Heinzel Group’s Global Sustainability Team has extensive experience and expertise in ESG (Environmental, Social, and Governance). The team’s competencies cover key areas such as sustainability management, energy management, environmental management, safety management, human resource management, circular economy, community engagement, product compliance, data management, and controlling. This expertise enables the team to identify and address material impacts, risks and opportunities relevant to the entities. Additionally, all Unit Sustainability Managers collaborate closely with relevant departments to develop and implement measures that align with company-wide goals. They coordinate with departments such as human resources, production, maintenance, project engineering, sales, finance, IT, purchasing, logistics, and compliance. To ensure that sustainability skills are continuously developed and kept up to date, all team members regularly participate in ESG-related training and professional development.
